1. Not an offer of securities
GPU SLAX is a venue for posting bids and asks on service level agreements for GPU capacity. Nothing on this site is an offer to sell or a solicitation of an offer to buy any security, commodity interest or investment product.
Whether a transferable SLA of this kind is characterised as a security, a commodity contract or an ordinary commercial services contract in any jurisdiction is under review. Until that review is complete the venue operates in development with mock rails and demonstration data.
2. Drafts pending counsel review
The SLA, MSA and Deposit and Escrow Terms published on this site are drafts marked v0.1. They are templates for discussion. They have not been reviewed by counsel and they are not legal advice. Do not rely on them for any decision without independent advice.
3. Variable power, cooling and siting
GPU capacity depends on power, cooling and network that vary by site and over time. A rack that meets its specification sheet on the Active Date may face power curtailment, cooling incidents, fabric faults or regulatory changes at its location. Service credits are the primary remedy and may not cover the holder's actual loss.
Deployment lead times of eight to ten weeks are typical estimates, not promises. Supply chain and permitting can move them.
4. Price risk
Public per-GPU-hour prices for the same hardware differ several times over between sellers, and transacted prices for earlier generations have both fallen and rebounded by tens of percent within a year. A multi-year SLA fixes a price for its whole term. The holder carries the risk that market rates fall, and the provider carries the risk that they rise.
The pricing reference page shows public list or reported prices from other sellers. They are not GPU SLAX prices and they are not a forecast.
5. Counterparty and escrow risk
The 20 percent deposit is a partial protection, not a guarantee of performance. Escrow is held by the Exchange under the Deposit and Escrow Terms. Custody, segregation and licensing arrangements with the bank partner are not final.
Providers are vetted by know-your-business review and proof of GPU or proof of funds. Vetting reduces but does not remove the risk that a provider fails to deliver.
6. Demonstration data and mock rails
In this version of the site the order book, ledger and wallets contain seeded demonstration data. Payment, identity verification and e-signature adapters are mocks. No real money moves.
7. The public ledger
The ledger at /ledger is a hash chain maintained by the Exchange. It lets anyone check that the published history has not been altered after the fact. It does not, by itself, prove that any row reflects a real bank movement. Anchoring the chain head to a public network is planned and not yet live.
